Sept. 10, 2018 /CNW/ - National Access Cannabis Corp. ("NAC" or the "Company") (TSXV: META), Canada's best practices leader in delivering secure, safe, and responsible access to legal cannabis today announced it exercised an option to acquire all of the shares of The Green Company Ltd. ("NewLeaf") not already owned by NAC for $23,582,000shares in escrow and $5,895,500 cash (the "Acquisition") pursuant to the terms of an option agreement between the Company, NewLeaf and all of the shareholders of NewLeaf (the "Option"). To facilitate a timely closing, the parties to the Option also entered into an addendum and amending agreement dated September 10, 2018. The Acquisition is subject to customary closing conditions and is expected to close prior to the end of the business day on September 10th, 2018. The proceeds of the Acquisition will be placed in escrow and will be paid to the former NewLeaf shareholders as cannabis retail licences are granted to NewLeaf, or, returned to NAC.
